Trading terms and conditions

At Templeton-Smith Ltd. we pride ourselves in the services that we provide to our customers. However there are some situations where we must define and limit our responsibilities in this relationship. Please read these terms and conditions carefully: They supersede all previous terms and conditions. If you have any queries, please discuss them with us.

Conditions of Sale

The title to any goods or services supplied remains with us until the goods or services have been paid for. During this period all responsibility for the goods rests with the customer. Title passes to the customer only on full payment. All sales are final, without option of retrospective discount, exchange or return, except on written permission from ourselves. A Returns Authorisation Number is required prior to return, and we reserve the right to apply a 20% restocking charge. The same applies to any item purchased and then either not collected or cancelled after ordering. Software cannot be exchanged or returned.

Payment Terms

All sales are conducted on a cash basis, unless a credit account has been previously arranged. Orders for goods should be accompanied by an Official Order Form, full payment being due on delivery. For web or database development and other ‘service’ solutions, we require an initial payment of 50% of the quoted value up front. A credit account can be arranged for suitable customers, providing a credit account application form has been completed and accepted by ourselves. The initial transaction must be on a pro-forma basis. Subsequent payment terms must comply strictly with the credit terms granted. We reserve the right to withhold the supply of goods or services to customers whose account is overdue or who have exceeded their credit limit. Please allow 14 days for credit account clearance. We will charge interest on overdue accounts at 5% above base rate from the date that they are overdue. Account facilities will thereafter be withdrawn making all subsequent invoices due and liable for interest from the date of invoice.

Guarantee Terms

Hardware items sold by ourselves are covered by the manufacturers warranty - typically for a period of 12 months from date of invoice. Second-hand goods carry a 3 month guarantee by us. All repair work under guarantee is to be carried out by an authorised service provider. If we are required to carry out repairs, the faulty goods must be delivered to our premises and we do not cover the cost of transportation to and from the customers premises. We reserve the right to repair or replace faulty goods at our discretion. Due to the very nature of software, we can make no guarantees as to a programs suitability for any particular application. However, if an original program disk becomes defective within the first 12 months, we will repair or replace it if possible. Furthermore, if defects appear within a program, we can only act as the customers agent in negotiations for these defects to be remedied by the manufacturer.

Additional Charges

These services are charged at our standard hourly rate (please see our website for our current hourly rate) with a minimum charge of one hour. These charges apply to work undertaken either on our premises, or elsewhere. Traveling charges to and from customers premises will be charged on a time basis at normal hourly rate at our discretion. Hardware repair charges only apply following expiry of the manufacturer's warranty period.

For goods delivered or collected within the area bounded by the M25 motor-way, a £50.00 (Ex. VAT) standard charge per journey applies. Outside this area, there may be additional charges. Small mail-order items are normally sent recorded delivery and have a minimum postal charge of £15.00 per package.

Exclusions

The full extent of our liability as regards any equipment or services that we have supplied is limited to the total value of those goods or services in question. No liability can be accepted for consequential loss or any other damages over and above this total value. Faults due to wear and tear, mishandling or damage cannot be covered by our guarantee: If we believe this to be the case, such repairs will be charged at our normal hourly rate.

Data

We can take no responsibility whatsoever for the safety, integrity or security of customers data, including that held on any device, external disk, optical or magnetic media, computer, phone, backup tape, backup disk, network, server or online. Customers must pre-emptively assure themselves that suitable procedures have been laid down and followed, such that their data and software is fully protected by multiple copies. We can advise on suitable procedures to cover this eventuality, however the responsibility for it rests with the customer. Should data become damaged, corrupted or irretrievable, we would make all attempts to help to recover it, but this work would be charged at our normal hourly rate. Furthermore, by engaging our services and thereby accepting our terms and conditions, customers explicitly agree that they have all important software and data backed up, and if not, that they take full responsibility for its potential loss.

None of the above terms and conditions are designed to conflict with the customers statutory rights, and it is understood that these will not be affected by any of the above.
